Here is a brief history of who has held positions on the WorldMark Board of Directors. The information is gleaned from the Minutes of meetings of the WorldMark Board of Directors.

Where I could find reference to the Director's position at TrendWest, I have listed that title. It is worth noting that when the Board appointed Don Williams in 1994, they made a point of the fact that he is an unaffiliated owner, but "has significant Board and management experience." This would indicate to me that all PREVIOUS Board Members were affiliated with Trendwest or Club Esprit/WorldMark.

Marci,

This is very helpful to have the entire director history of the Club so nicely presented.

The "manipulative intent" to control the Club is VERY revealing when put in context like this.

Little by little, one gets the strong feeling that the necessary & long awaited "breakthroughs" will soon be at hand..

As I see it, John Henley and Gene Hensley have latched on to the BoD and won't let go. Are BoD members paid? What, if not money, is their motivation??
I am demoralized by the inner workings of this BoD. I am soo very grateful there are owners out there who can put the skids to these cheaters. I've given my proxy to Philip Abdouch; GO GET "EM!

Owner since 12/1997. It's been good so far:
Enjoyed Mariner Village(when I can get it), Surf Side, Discovery Bay, Birch Bay, Leavenworth, and Camlin in Seattle.
Through RCI, I've been to Ireland and England and Spain. Sent my daughter and new son-in-law to Seaside, OR for their honeymoon. They went to Hawaii this year also. Sent my son and new daughter-in-law to England for their honeymoon.

Good question. The official answer is NO. However, if you worked for Wyndham and we able to be placed into a position where you could help to significantly increase the profit of Wyndham, that would seem to be motivation. If you were retired from a company and much of your "golden parachute" and retirement were based on the profit of Wyndham, that might also be motivation.

Just my 2 cents.

I don't get to read here very often and I rarely post but this has me asking the question:
Do you know this for sure???
I thought you retire with some sort of a set pension from companies, no??

Not in the current or recent business world for most executives. Very few companies offer pensions anymore. My husband and I both work for Fortune 500 companies, no pension. There are stock incentives however. I used to work for a mid-sized company, same thing. Government and a few very large, older companies offer pensions, and of course, military.

Having just migrate over from the Tug FF forum I found it profoundly similar to the WM plight.

As we come to the annual Board Meeting I post the following for your amusement. All current and former Wyndham Worldwide employees are expected to hold and honor the following principles...

Wyndham Worldwide Business Principles wrote:
Wyndham Worldwide, together with its business units and operating company subsidiaries (the "Company"), is pleased to provide you with the following Business Principles. These Business Principles represent the core of our business philosophy. They are yet another example of our commitment to ourselves, our communities, our business partners, our shareholders, and even our competitors, demonstrating that we are a world-class company. Our ethical behavior takes precedence over profits, sales or other such standards of success. Toward that end:

1. We are committed to ensuring that we are law-abiding citizens of any country in which we operate and will not intrude into the political affairs of any country, nor cause or permit any employee to take any action that would knowingly result in the violation of any laws or regulations;
2. We recognize that each one of us is responsible and accountable for maintaining an adequate system of internal controls over all areas of our own responsibility;
3. We recognize that each one of us occupies a position of trust with the Company and, as such, has a duty of loyalty to the Company. We each must therefore ensure that we are free from the influence of any potential or actual conflicting interests when we represent or act on behalf of the Company.

It is important to note that Wyndham Worldwide reserves the right to modify or revise these Business Principles or any of its guidelines, practices, working conditions or benefits at any time, with or without notice. Further, no policy included in this manual, or otherwise established, in writing or not, is intended to create a contract of employment or otherwise alter our employment at-will policy. Subject to local law, rule or regulation, these Business Principles supersede any prior principles or guidelines on the same subject matter.

These Business Principles apply to all Wyndham Worldwide officers and employees regardless of date of hire or association through merger or acquisition. These Business Principles apply to all employees worldwide. They also apply to the employees of all controlled subsidiaries and joint ventures, i.e., where Wyndham Worldwide owns more than 50 percent of the stock or equity of the subsidiary.

Wyndham Worldwide expects its suppliers, consultants, law firms, public relations firms, contractors and other service providers to act ethically and in a manner consistent with these Business Principles. If you retain a service provider, you should take reasonable steps to ensure that the service provider has a reputation for integrity and ethical conduct, and that the service provider is acting in a manner that reflects the highest ethical standards.

IMPO it is only a matter of time until WM is integrated into WYN if we don't pull together! Wyndham, a for profit entity, is only concerned about protecting and aquiring the underlying assets. They make far more money from the future potential of rentals then they would from New Owner Contract Sales. If FF is an example... Stack the BoD with dedicated WYN worker bees swearing to the above principles, kill the new sales ($2.25 per credit), kill the resales (owners being negative, offer faux benefits, confuse the program names), kill the point rental (offer FAX points increasing revenue to WYN and compete with WM owners rental points), increase the cost of ownership and on and on. It will be a death by a thousand cuts. When there are no owners, the house will collapse. Wyndham will be there to collect the firesale... IMPO.
